2. Scope of Application

These Terms & Conditions apply to all contracts for the supply of natural stone materials and related services, including but not limited to tiles, slabs, mosaics, bespoke stone elements, and project-based supply.

Any terms proposed by the Client shall not apply unless expressly agreed in writing by a Director of SPECIFO LTD.

3. Quotations & Orders

All quotations are provided without obligation and are valid for 30 days unless stated otherwise.

A contract is formed only when:

  • A written order confirmation is issued by the Company, or

  • Goods are dispatched or production is commenced.

The Company reserves the right to refuse any order at its discretion.

4. Pricing & Payment

Prices are quoted exclusive of VAT (where applicable), delivery, customs duties, and any additional charges unless stated otherwise.

The Company may require:

  • A deposit of up to 50% upon order confirmation

  • Full payment of the balance prior to dispatch or delivery

Late payments may be subject to interest at 3% above the Bank of England base rate, accruing daily until payment is received in full.

5. Natural Stone Characteristics

Natural stone is a unique and variable material. By placing an order, the Client acknowledges and accepts that:

  • Variations in colour, veining, texture, fossil content, and shade are inherent characteristics of natural stone

  • Samples, photographs, and displays are indicative only and do not constitute a sale by sample

  • No two pieces of natural stone are identical

Such natural variations shall not be considered defects.

6. Bespoke & Special Orders

Bespoke, made-to-order, or specially sourced materials cannot be cancelled or returned once production or procurement has commenced.

Where cancellation is exceptionally agreed in writing:

  • Any costs incurred by the Company will be payable by the Client

  • Restocking or supplier charges (typically 25%–50%) may apply

7. Delivery & Risk

Delivery and completion dates are estimates only. Time shall not be of the essence.

Risk in the goods passes to the Client upon delivery or collection.

Unless otherwise agreed in writing:

  • Deliveries are made to ground-floor access only

  • The Client is responsible for ensuring suitable access and assistance for unloading

The Company shall not be liable for delays caused by circumstances beyond its reasonable control.

8. Inspection, Claims & Returns

The Client must inspect all goods immediately upon delivery.

  • Any shortages, damages, or visible defects must be reported within 3 working days

  • Claims made after this period may be rejected

Returns will only be accepted with prior written consent and may be subject to handling, transport, and restocking charges.

9. Warranty & Liability

Goods are supplied with the benefit of the original manufacturer’s warranty only, where applicable.

To the fullest extent permitted by law:

  • The Company excludes liability for indirect, consequential, or economic loss

  • The Company’s total liability shall not exceed the value of the goods supplied under the relevant contract

This does not affect statutory rights where applicable.

10. Title to Goods

Title to goods remains with the Company until full payment has been received.

The Company reserves the right to recover goods where payment has not been made in full, subject to applicable law.

11. Force Majeure

The Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, strikes, supply chain disruption, governmental restrictions, or natural events.

12. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
